ANNUAL MAINTENANCE

Maintaining corporate records, preparing minutes of Annual General & statutory meetings, preparing & filing annual returns to Government. Annual fee:  Pro-rated from date of incorporation to end of the calendar year & payable annually in advance for provision of registered office facilities.

PREPARATION OF CORPORATE RECORDS by BCSL

Following registration of company:

For preparation of any corporate minutes or standard resolutions required by the company, authorisation for the company to apply for and open bank or trading accounts, to enter into a contract for the purchase or sale of property, utility applications (electricity, water, communications), increase or decrease in share capital of company, transfer of shares (per meeting) etc.

PROVISION OF CORPORATE RECORDS & CERTIFIED COPIES OF DOCUMENTS BY BCSL

BANK ACCOUNT SUPPORT SERVICE

For providing certified copies of all required corporate documents (not limited to but including certified copies of Certificate of Incorporation, Registers of Directors, Officers, Shareholders and Mortgages, Memorandum and Articles of Association).

Clients to complete Bank mandate forms.

MAINTENANCE OF SUNDRY ACCOUNTS

For maintaining an account on behalf of any company and organising the payment of bills and strata fees owed by that company, including receiving all mail and disbursing all payment as required.

HOLD MAIL SERVICES

For holding mail on behalf of client; BCSL will be authorised to automatically open all mail (including all bank correspondence) received on behalf of the company for inspection purposes (the contents of which shall be treated in a strictly confidential manner subject to the Laws of the Cayman Islands) and at the end of every month, all mail received on behalf of the company will be forwarded to the client at an address so stipulated, the cost of which will be passed to the client.

APOSTILLE OR LEGALISATION OF DOCUMENTS 

For taking instructions to certify any document by a Notary Public and to further make application to the Passport Office for the Governor of the Cayman Islands to Apostille.

NOTARY PUBLIC

For certifying any document(s) as true and correct, witnessing of signature(s).

TAX EXEMPTION CERTIFICATE FOR EXEMPT CORPORATE          

For taking instructions to make application to the Clerk of the Executive Council, Government Administration Office for a twenty year Tax Exemption Certificate.

CERTIFICATE OF GOOD STANDING / INCUMBENCY

For taking instructions to make application to the Registrar of Companies for a Certificate of Good Standing / Certificate of Incumbency

CERTIFICATE OF SECRETARY

For taking instructions to prepare a Secretary’s Certificate for the company.

PUBLICLY AVAILABLE INFORMATION

The only information which may be obtained by a member of the public from the Registrar of Companies in relation to any company is the type of company, (ie ordinary or exempted) and the location of its registered office.  No other information is required to be made available to the public by an exempted company, although its register of mortgages and charges may be inspected by any shareholder or creditor of the company.  An ordinary company is required to make its register of shareholders available for inspection by the public, and its register of mortgages and charges may also be inspected by any shareholder or creditor.

The Confidential Relationships Preservation Law makes it a criminal offense for a professional to disclose any confidential information regarding a customer without his consent in writing.  However, the confidentiality laws of the Cayman Islands do not apply to money laundering and activities which would be judged criminal in the Cayman Islands.
